United Spirits Limited (USL) is India’s largest spirits company and one of the world’s largest by volume. Diageo is a UK-listed company headquartered in London whose brands include Johnnie Walker, Smirnoff, Baileys, Guinness, Captain Morgan, and Tanqueray. Diageo acquired its controlling stake in United Spirits between 2013 and 2014, purchasing shares from Vijay Mallya’s United Breweries Group, which had founded United Spirits. The remaining ~44% of USL shares are publicly traded on BSE and NSE, held by institutional investors and retail shareholders.
History and Vijay Mallya
United Spirits traces its commercial origins to the McDowell & Co. Ltd. brand, established in 1826 by Angus McDowell. The modern United Spirits was built by Vijay Mallya and the United Breweries Group (UB Group), which assembled India’s largest spirits portfolio through decades of acquisitions. Mallya sold his controlling stake to Diageo in 2012–2014, using the proceeds partly to fund his struggling Kingfisher Airlines — a decision that preceded his high-profile legal troubles and eventual flight from India on charges of bank loan defaults. Diageo took full operational control of United Spirits by 2015, installing professional management.
